How to Register a Company in Uganda Using URSB e-Registry in 10 Steps

To register a company in Uganda online, reserve a name, complete the URSB e-Registry incorporation workflow, sign and upload the generated forms, pay the PRN for your application, obtain URSB approval, then complete the registrations that apply to the new company. 1. Create a Personal URSB Account and Reserve the Company Name

Create a personal account on the URSB e-Registry using an email address and mobile number that you control. In the workflow documented for this guide, the mobile number serves as the username. Prepare at least three proposed company names in order of preference before you begin.

Submit the names and monitor My Applications, then Reservations. A preferred name can be declined where it conflicts with an existing or reserved name, is too similar to another name or does not meet the applicable requirements. When a reservation is approved, the portal presents Dispense, Register and Abandon. Select Register to begin incorporation when the approved name is the one you will use.

2. Start Incorporation and Enter Company Details and Members

Click Register beside the approved reservation. The portal opens the Company Incorporation page, confirms the company type and creates a tracking number. Review the type, subtype and, where relevant, liability or guarantee currency before continuing. The progress indicator can show Members, Mem Arts, Address, Directorship, Beneficial Owner, Official Company Contact Details, Preview and Payment.

Confirm the nature of business using categories that accurately describe what the company will actually do. Add members, subscribers and only the positions that genuinely apply, such as subscriber, director, secretary or deputy secretary. Keep a note of the tracking number and ensure all details will be consistent with later declarations.

For a Ugandan individual, enter the NIN exactly as shown on the National ID and review information that the portal retrieves. Complete outstanding contact, occupation and address fields. For a foreign national, use the correct passport details and enter the remaining particulars manually. Never use demonstration names, NINs, passport numbers or addresses.

3. Complete Mem Arts: Guarantee Amount, Articles, Objectives and Witness

Mem Arts captures constitutional information. In the illustrated company limited by guarantee without shares workflow, it records the amount guaranteed, adoption table, company objectives and witness details. Enter the amount that matches the company’s actual constitutional arrangement.

Choose the adoption table that matches the constitution being adopted. The portal may present Table C of the Companies Act, Cap 106 in standard form or with modifications. Where you plan special governance provisions or modifications, obtain appropriate legal or company-secretarial advice before you submit.

Enter objectives that are clear, relevant and consistent with the nature of business selected in Step 2. Do not add unrelated activities merely because the portal permits additional objectives. Complete the witness name, address and occupation, then review the full section before saving.

4. Declare the Physical Address and Obtain or Provide a Postal Address

The address stage captures the registered physical location and postal address. These are different records. Complete the geographical fields shown by the portal, including country, district, county, sub-county, parish and village, then add plot, street and a useful office description where applicable.

The documented workflow requires a postal address. Where the company needs one, obtain the appropriate postal product and pay the amount presented in the actual transaction. Postal products and tariffs vary by product and location tier. The example rates in the source walkthrough are not a universal quote, and postal charges are separate from the final URSB incorporation bill.

Enter the date of effect and check every location field before Save and Continue. Do not substitute the promoter address or the company email for the registered physical or postal address.

5. Enter and Verify Directors and Company Secretary Details

After Address, the portal moves to Directorship. Confirm the person shown under Presented By and review the directors table. Ensure every listed director, identification number or BRN and position is correct. Use Add Director only where another appointment genuinely applies.

Where a company secretary is required or appointed, complete the secretary information. Use the correct NIN for a Ugandan individual or applicable passport information for a foreign national, then complete any remaining required fields. Information retrieved from an identity record still needs human review.

Directorship is a governance declaration, not merely a form field. Before continuing, confirm that roles, identities and appointments match the company’s actual governance structure and will agree with generated forms.

6. Declare Beneficial Owners and the Ownership or Control Structure

The Beneficial Owner stage records natural persons who ultimately own, control or exercise the relevant beneficial interest or control. First state where the company’s beneficial ownership register is kept by completing the required address fields.

Select or add every qualifying beneficial owner. Do not assume that all directors, secretaries or members are automatically beneficial owners. The declaration must reflect genuine ownership and control. The structure tree may show voting rights, appointment rights, voting rights, guarantee information and other control data.

Review every percentage and right before Save and Continue. The 95% and 5% figures shown in a demonstration are examples only. Use edit or delete controls to correct errors and seek qualified advice where ownership, voting or control arrangements are indirect, shared or uncertain.

7. Record Official Company Contact Details and the Presenter or Promoter Address

Step 7 records the company’s official communication channels. Enter an email address that the company can access reliably and intends to maintain. The portal notice states that official contacts are primary channels for notifications and messages after registration, and signed or stamped documents may be sent to the provided email.

Enter an active company mobile number in the correct country-code format, then confirm the person presenting the application. Complete the address of the individual or promoter lodging the application through the required geographical fields. Check the email character by character and use a number that will remain under the company’s control.

Keep the records distinct: the company physical address is the registered office location; the postal address is for correspondence; the promoter or presenter address belongs to the applicant; and the email and mobile are official company channels. Assign responsibility for monitoring the company contacts after incorporation.

8. Download, Sign, Scan and Upload the Generated Forms and IDs

Once substantive information has been completed and previewed, the portal generates incorporation documents. Download every form, review it against the online application, obtain required signatures, scan the signed version clearly and upload it into the correct portal field. Do not knowingly sign a document containing an incorrect name, address, officer, objective or ownership statement.

FORM 1 may consolidate the company type, business, objectives, guarantee amount, address, contacts, subscribers, directors, secretary, articles and witness. Upload the required National IDs or passports for directors and the company secretary. Check every page, signature, orientation and document category. Compare generated forms with portal entries before payment. If a material detail is wrong, correct the underlying application and regenerate rather than uploading a signed inaccurate form.

9. Generate the PRN, Pay, Submit, Obtain Approval and Receive the Certificate

After signed forms and identification documents are uploaded, review the itemised bill generated for your own application. Select Generate PRN, note the expiry date and use only the PRN linked to that application. The documented payment interface shows options such as mobile money, counter payment, Visa or Mastercard and Already Paid, but available options can change.

10. Create the Company Profile and Complete Relevant Post-Incorporation Registrations

After incorporation, separate the legal entity from the promoter’s personal administration. Create or activate the company’s own profile where a relevant government portal permits an entity account, use the official company email and mobile, restrict access to authorised officers and create a controlled records file for the BRN, certificate, approved forms, beneficial ownership record, portal credentials, postal records and renewal dates.

Register with Uganda Revenue Authority as a non-individual taxpayer and follow live requirements for the company’s TIN, BRN-linked details, relevant tax heads and any EFRIS obligation. If the company employs staff, register as an employer with National Social Security Fund and establish accurate payroll and contribution controls. NSSF publishes a 5% employee and 10% employer contribution structure, with payment by the 15th day of the following month, subject to applicable rules.

Obtain a trading licence from KCCA if operating in Kampala or from the responsible local authority elsewhere. A company seeking Government contracts should register on PPDA e-GP and maintain its provider profile. A prospective oil and gas supplier should follow the current PAU supplier registration system. Complete only the licences, permits and approvals that apply to the company’s sector, location, premises, workforce and activities, then maintain a compliance calendar for renewals.
