Company restoration, statutory filings and corporate compliance
How to Reinstate a Struck-Off Company in Uganda: 10 Steps Using e-Registry
To reinstate a struck-off company in Uganda, first confirm its registry status and the available restoration route. Then organise the company records, access e-Registry, submit the restoration application, complete outstanding filings, pay the assessed charges and obtain URSB’s confirmation. The application must address the reason for removal and the requirements applicable to that company.
A missed annual return can develop into a serious business interruption when filing failures remain unresolved. Directors, shareholders and investors need a clear record of what happened, what remains outstanding and who will complete each corrective action.
This guide from Houston Executive Consulting explains the ten practical steps, the documents to prepare and the checks to make before treating the company as restored. It uses the current portal name, e-Registry, throughout.
1. Confirm the Company’s Exact Registry Status
Search e-Registry using the registered company name and registration number. Compare the result with the certificate of incorporation and any subsequent change-of-name documents. Record the status displayed and the date of your check.
Review the relevant URSB public notice as well as the electronic record. The notice should help establish which company was affected, what action was taken and when it took effect. Search by registration number wherever possible, because similar names can lead to the wrong entity being selected.
Distinguish the Stage Before Acting
| Position | What to establish | Immediate action |
|---|---|---|
| Proposed strike-off | A notice has been issued, but removal may not yet have taken effect. | Check the response deadline and address the stated default. |
| Struck off | The removal date, reason and applicable restoration route. | Assess eligibility and prepare the restoration file. |
| Deregistered or dissolved | The later notice or record and its legal effect. | Obtain URSB clarification and legal advice on the available remedy. |
| Restored | The restoration decision and updated register entry. | Verify completion and maintain ongoing filings. |
The Companies Act requires a company struck off under the defunct-company provisions to cease carrying on business. Treat the status issue as an immediate priority and obtain legal advice on affected contracts, assets or pending proceedings.
If the search and notice disagree, request clarification from URSB using the company number and copies of the conflicting records. Keep the response with the application file.
Step output: a verified status, the relevant notice and a clear record of the effective date.
2. Check the Restoration Route and Time Limit
The Companies Regulations, 2023 distinguish between applicants. Under regulation 42(1), a struck-off company may apply for restoration within twelve months from the strike-off date. Under regulation 42(2), an aggrieved person other than the company, with reasonable cause, may apply within five years from the decision. The five-year provision is not a general extension for every company.
Company Application
Assess the twelve-month route against the actual strike-off date.
Other Aggrieved Person
Check reasonable cause and eligibility for the separate five-year route.
Expired or Unclear Period
Obtain a case-specific assessment of the remedy available.
Identify who is applying, the capacity in which they act and the legal basis for the request. For a company application, confirm the authority of the director, secretary or representative handling the matter. Record any dispute over control, ownership or authority before documents are submitted.
Address an Expired or Unclear Deadline Early
If the ordinary period has passed, or the company appears on a deregistration list, take the records to URSB and a Ugandan advocate to assess the available route. Regulation 48 gives the Registrar a power to extend time on appropriate terms, but an extension must be sought and established for the particular case. A saved e-Registry draft does not itself resolve a deadline.
Use the actual strike-off date and applicable notice when calculating time. A deadline mentioned in an older public announcement should not be applied to every later company.
Step output: an identified applicant, an assessed deadline and a confirmed basis for proceeding.
3. Assemble the Company Records and Filing History
Create one controlled file containing the company’s incorporation records, current registered particulars, previous filings, ownership information and correspondence with URSB. Identify which records are complete and which need correction or supporting evidence.
- Company identity: registered name, company number, incorporation certificate and any registered name changes.
- Corporate records: constitutional documents, directors, secretary where applicable, members, share information and registered office.
- Authority to act: the applicant’s identification and the resolution, appointment or other authority required for the application.
- Filing history: copies of accepted annual returns, filing receipts, queries and the years still outstanding.
- Ownership evidence: beneficial ownership records and the supporting ownership or control chain.
- Restoration evidence: the strike-off notice, explanation of the default and the material supporting the request.
A filing-year schedule is particularly useful. For each year, record whether the return was prepared, signed, paid for, submitted and accepted. A payment receipt and an accepted filing are different pieces of evidence.
Where records are scattered across directors, accountants and previous advisers, corporate secretarial and company compliance support can help reconcile the documents before filing. Resolve discrepancies in names, addresses and ownership through the appropriate process.
Step output: a reconciled company file and a year-by-year list of outstanding work.
4. Sign In to e-Registry and Establish Authorised Access
Open e-Registry through the official URSB website. Sign in to the appropriate user account or complete the account-registration process shown by the portal. Use accurate identity and contact information and a phone number and email address you can access.
Complete the verification requested on screen. Check that messages and application updates will reach the person responsible for the file. If access belongs to a former employee or adviser, use URSB’s account-support process to resolve the problem.
Confirm Access to the Correct Company
Locate the existing company record and follow the portal’s process for establishing the applicant’s authority to act. Having a personal e-Registry account does not, by itself, prove authority to change a company’s records.
Keep login credentials and verification codes under the control of the authorised account holder. A consultant can help prepare and check the application while responsibilities for access, approval and submission remain clearly assigned.
Step output: verified access and an authorised applicant ready to work on the correct company record.
5. Locate the Company Record and Start the Available Application
Within e-Registry, find the existing company using its registration number and confirm that the displayed name matches your records. Review the services available for that company’s current status.
Where e-Registry presents a Data Update route for an existing record, use it as directed and follow any restoration instructions shown. Where a restoration service is available directly, use that service. A struck-off or archived record may require URSB assistance before all filing actions become available.
Resolve a Missing or Restricted Record
If the company cannot be located or the necessary service is unavailable, send URSB the registration number, exact name, relevant notice and a description of the issue. A screenshot of the error or service restriction can help the support team identify the problem.
Do not create a duplicate company record to work around an access restriction. Save any draft reference generated by e-Registry and keep it with the support correspondence so the same application can be followed through.
Step output: the correct application route or a documented URSB support request resolving access to it.
6. Prepare and Submit the Restoration Application
Prepare the written grounds for restoration required by regulation 42. Explain the circumstances that led to the strike-off, why restoration is sought and the steps being taken to bring the company into compliance. Support the explanation with records relevant to the case.
The Regulations identify readiness to comply, a proper reason for a company that was trading at strike-off to continue in existence, and disability affecting directors or shareholders among the grounds the Registrar may consider. Use the grounds that accurately reflect the company’s situation.
Keep the Explanation Consistent With the Evidence
- Identify the company and the applicant clearly.
- Give the relevant dates and explain the filing or administrative failure.
- Describe the outstanding work and the plan for completing it.
- Attach the documents requested for the selected route.
- Check signatures, dates, legibility and consistency before submission.
Complete the required e-Registry fields and upload the supporting documents in the accepted format. If payment is required before submission, follow the generated payment instructions. Retain the submitted application, its reference and any acknowledgement.
Step output: a submitted restoration request with a traceable reference and supporting file.
7. Complete Outstanding Annual Returns and Ownership Filings
Use the filing schedule prepared in Step 3 to address the missing annual returns. Follow the order and access arrangements specified in e-Registry or by URSB. Where the company’s status prevents a filing, request the required access or direction and retain the response.
Prepare each return for the relevant reporting period using the company’s records. Check the officers, members, registered office and share information applicable to that return. Do not reproduce today’s details across historical returns without checking the underlying changes.
Reconcile Beneficial Ownership Information
Review the natural persons who ultimately own or control the company and complete the applicable beneficial ownership filing. Where the portal requires Form 1, Notice of Beneficial Owners, reconcile it with the company’s beneficial ownership register and supporting evidence. An overseas holding company may require an ownership chart that identifies the natural persons behind it.
Use the correct process for changes to directors, addresses, shares or ownership particulars. Keep evidence of each accepted filing. An annual return to URSB and a tax return to URA serve different purposes; completing one does not settle the other.
Step output: the required filings submitted and tracked to acceptance, with ownership information reconciled.
8. Pay the Assessed Fees and Reconcile Every Receipt
The Companies (Fees) Regulations, 2024 list the following charges. Use the current e-Registry assessment for the company’s actual application and filing requirements, and ask URSB to clarify any discrepancy before payment.
| Filing | Published charge | Schedule item |
|---|---|---|
| Application to restore a company to the register | UGX55,000 | 20 |
| Annual return: private company with nominal share capital | UGX55,000 per return | 5(a) |
| Annual return: company without nominal share capital | UGX35,000 per return | 5(b) |
| Return filed by a foreign company | US$70 per return | 5(c) |
Illustration: one restoration application plus three outstanding annual returns for a private company with nominal share capital gives a filing-fee subtotal of UGX220,000: UGX55,000 + (3 × UGX55,000). This excludes any separately assessed penalties, other filings and professional fees.
Match Payments to the Correct Application
Generate the payment reference through the official process and use a payment channel offered by e-Registry. Check the company, service, reference and amount before authorising payment. Retain the receipt and confirm that the portal has reconciled it to the intended filing.
If a payment remains pending, raise the receipt and reference with support before paying again. Keep official charges separate from consultant fees in the budget and in any written quotation.
Step output: reconciled payments and a complete schedule of receipts against applications.
9. Answer Queries and Obtain the Restoration Decision
Monitor the e-Registry account and the contact channels used for the application. Record each URSB query, the supporting information requested, the person responsible and the date of the response.
Answer the issue raised directly. Where a correction changes information elsewhere in the file, reconcile the affected documents before resubmitting. Keep the correspondence under the original reference unless URSB directs otherwise.
Identify Any Additional Procedure
Regulation 42(11) limits the thirty-day intention-to-reinstate notice and related objection procedures in regulation 42(4), (5), (7) and (8) to a company struck off at its own request under regulation 41(2). Do not assume that every restoration application follows that additional procedure.
The complete processing time depends on the route, document quality, outstanding filings, payment reconciliation and any queries or objections. Ask for the service target applicable to the actual file and track progress against it.
Obtain the restoration decision or notification and verify the updated registry entry. A submission acknowledgement, a successful payment or access to a filing service is not the final decision. Retain the incorporation records alongside the restoration evidence; do not assume that reinstatement always produces a new incorporation certificate.
Step output: formal restoration evidence and confirmation of the company’s updated registry position.
10. Verify the Records and Prevent Another Strike-Off
Check the restored company’s name, registration number, registered office, officers and ownership information against the approved documents. Resolve any remaining discrepancy before relying on the records for banking, procurement or other business requirements.
Provide the relevant restoration evidence to counterparties that need it. Review the separate position on tax registration, tax returns, licences, employment obligations and contractual matters. Restoration at URSB does not, by itself, establish compliance with every other authority.
Assign Ongoing Filing Responsibilities
Create a calendar for annual returns, ownership updates, registered changes and the company’s other obligations. Assign an owner and a second reviewer, retain submission evidence and report incomplete work to the responsible director.
Connect these tasks to the company’s corporate governance and regulatory compliance arrangements. The aim is to make filing responsibilities part of routine management, with clear approval, payment and recordkeeping responsibilities.
Step output: verified restoration records and an operating compliance calendar with named owners.
Keep a Complete Reinstatement Evidence File
A useful evidence file lets another authorised person understand what was submitted, what was accepted and what remains open. Organise it by company number and application reference, with a separate folder for each filing year.
| File component | Evidence to keep | Why it matters |
|---|---|---|
| Status and eligibility | Registry result, notices and route clarification. | Establishes the starting position and application basis. |
| Authority and application | Authorisation, signed documents and submission acknowledgement. | Shows who acted and what was requested. |
| Corrective filings | Returns, ownership filings and acceptance records. | Tracks the work completed for each obligation. |
| Payments | References, receipts and reconciliation evidence. | Connects each payment to its filing. |
| Completion | Restoration notification, updated record and compliance calendar. | Supports handover and continuing administration. |
Frequently Asked Questions
Can a company struck off in Uganda be reinstated?
A struck-off company may seek restoration through the applicable URSB procedure. First establish its exact registry status, removal date, applicant and available route. A later deregistration or dissolution record requires specific assessment before proceeding.
What is the current name of the URSB portal?
The portal is e-Registry. Open it through the official URSB website, use the correct company record and follow the services and instructions available for that record.
How long does a company have to apply for restoration?
Regulation 42(1) provides twelve months from strike-off for an application by the company. Regulation 42(2) separately provides a five-year route for an aggrieved person other than the company with reasonable cause. Identify the applicable route before relying on either period.
What is the application fee for company restoration?
The Companies (Fees) Regulations, 2024 list UGX55,000 for a restoration application. Annual returns, other filings, any separately assessed penalties and professional fees are additional. Reconcile the current e-Registry assessment before payment.
Must all missing annual returns use the same company details?
Each return should reflect the relevant period and the supporting company records. Check historical changes instead of copying current directors, members, addresses or share information into every outstanding return.
Does filing a URA tax return replace an annual return to URSB?
No. Tax returns and company annual returns are separate obligations. Check both positions and retain evidence of the filings required by each authority.
How long does reinstatement take?
The full timeline depends on the applicable route, document readiness, outstanding filings, payment reconciliation and any queries or objections. Obtain a service target for the actual file. An individual filing target does not establish the completion date for the whole restoration process.
Does reinstatement always produce a new certificate of incorporation?
Do not assume that it does. Retain the restoration decision or notification and verify the updated registry entry, alongside the existing incorporation documents and any further records URSB issues.
What should I send when requesting reinstatement support?
Start with the company name, the status identified and a short description of the assistance required. Agree a secure onboarding channel before sharing identity documents, ownership evidence or detailed company records.
